Whistleblower Policy

INTRODUCTION

The Whistleblowing Policy and Guidelines is set out to aid in the detection and prevention of fraud.

The Whistleblower’s identity shall be protected and kept confidential unless otherwise required by law or for purposes of any proceedings. The identity and personal information of the Whistleblowers may be revealed to persons involved in the investigations, unless consented by them.

PURPOSE

This policy is intended to provide channels to all employees of KPS Berhad and its subsidiaries as well as the public to raise their concern on any misconduct.

Procedure for Reporting Complaints / Advisory Services:

  • Present at KPS Berhad’s Integrity and Governance Unit

SCOPE

This policy is applicable to all employees of KPS Berhad and its subsidiaries as well as the public.

GUIDING PRINCIPLES

Whistleblowers will be protected, and their identity kept confidential in accordance with the Whistleblower Protection Act 2020 (Act 711)

ASPECTS

The Charter outlines the following key areas of the Directors’ roles and responsibilities, powers, authorities, governance structure and internal regulations of the Board of Directors which specifically reserves for itself and those which it delegates to Management as well as the various Board Committees of KPS Berhad:

Misconduct governs by the policy:

  • An offence or a breach of law, Company’s Rules and Regulations, Financial Regulations or other policies or standards which the Company applies;
  • Possible fraud and corruption;
  • Disclosure related to possible miscarriage of justice;
  • Health, safety and environment issues which is in violation of the relevant laws and standards;
  • Sexual or physical abuse; and
  • Other unethical conduct
